Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Pro Speak Artisan ("ProSpeak", "we", "us") and govern your use of the Pro Speak Artisan mobile application (the "App") and all related services (the "Services").

By creating an account, you confirm that you have read, understood, and agreed to these Terms. If you don't agree, don't use the App.


1. Who can use ProSpeak

  • You must be at least 18 years old to create an account.
  • You must be authorised to act on behalf of any business you register.
  • ProSpeak is built for professional tradespeople running real-world

service businesses (plumbing, electrical, HVAC, roofing, painting, landscaping, exterminating, locksmithing, …). It is not a consumer product.


2. Your account

  • You're responsible for the security of the credentials you choose.

Pick a strong password and don't share it.

  • If you suspect unauthorised access, contact contact@prospeakartisan.com

immediately.

  • One account per natural person. You may not transfer your account to

someone else without our written consent.

  • Activity carried out under your account is your responsibility.

3. The Services in plain terms

ProSpeak lets you :

  • Dictate spoken descriptions of job sites and convert them into

structured estimate drafts via AI (speech-to-text + structured-data extraction).

  • Manage clients, line items, photos, and PDF estimates.
  • Send a payment request link to your end clients, who pay through a

third-party payment processor (Stripe) directly into your bank account. ProSpeak never holds the funds.

  • Track maintenance reminders and trigger follow-ups.

The App may be updated periodically. New features may require an updated version of the App.


4. AI-assisted estimates — important disclaimer

The voice-to-estimate feature uses large language models that produce drafts only.

  • You are the professional. Every line item, quantity, price and

total is your responsibility. Review every draft before sending it to a client.

  • AI models make mistakes — they may misunderstand vocabulary,

misprice materials, or skip steps you described. Re-read the transcript and the line items before saving.

  • Estimates produced by the App are **commercial offers between you

and your end client**, not legally binding contracts unless you and the client agree to that effect. We are not party to any contract formed with your end clients.


5. Subscriptions and payments

5.1 Plans

We offer the following plans through the Apple App Store (iOS) or Google Play (Android) :

  • Starter — 150 voice minutes / month
  • Pro — 600 voice minutes / month
  • Business — 3000 voice minutes / month, with fair-use cap at 5000

Plus optional one-time voice-minute packs if you exceed your monthly quota.

Current prices are shown in the App. They may vary by country and over time. Apple and Google handle the actual billing, currency conversion, and tax — your payment goes through them, not through us.

5.2 Free trial

If a free trial is included with your plan, you can cancel at any time during the trial period. If you don't cancel before the trial ends, the plan automatically converts to a paid subscription at the price shown in the App.

5.3 Auto-renewal

Subscriptions auto-renew until you cancel. Manage or cancel your subscription in your App Store / Google Play account — we cannot cancel it for you because the contract is between you and the store.

  • Android : Play Store → Profile → Payments & subscriptions → Subscriptions

5.4 Refunds

Refund requests for subscriptions and one-time packs are handled by Apple or Google according to their policies. We don't process refunds directly. You can request a refund through :

5.5 Voice-minute quotas

Each plan includes a monthly voice-minute quota. When you exceed it :

  • You'll see a prompt before each new recording offering to **buy a

pack of extra minutes (one-time consumable purchase) or to upgrade** to a higher tier.

  • You can choose to continue with overage if you've already bought

packs ; those minutes are then consumed in priority once your monthly quota is depleted.

  • On the Business plan, a fair-use ceiling of 5000 minutes per

month applies. Above this ceiling we may suspend new recordings on your account until the next monthly reset, primarily to protect you from accidental over-consumption (a forgotten recorder, an automated script). Contact support if you legitimately need more.


6. Client-to-artisan payments (Stripe Connect)

When your end client pays an invoice through a ProSpeak-generated Stripe Checkout link :

  • The payment goes directly into your connected Stripe Express

account, not through ProSpeak.

  • ProSpeak may charge an application fee as disclosed in the App

and in Stripe's onboarding flow (currently 0 % during early access).

  • You're responsible for KYC, banking compliance, refunds, chargebacks

and tax compliance on these payments. Stripe handles the payment rails ; we provide the link-generation glue.

7. Acceptable use

You agree not to :

  • Use the App to record people without their knowledge in jurisdictions

where that's illegal.

  • Generate fraudulent or knowingly inaccurate estimates.
  • Spam, phish, or harass anyone via the share-sheet integrations

(estimate PDFs, payment links, referrals).

  • Resell, sublicense, lease, or otherwise commercially exploit access

to the Services without our written consent.

  • Reverse-engineer, decompile or attempt to extract the source code of

the App except to the extent allowed by mandatory local law.

  • Use automated scripts to drive up voice-minute consumption.
  • Use the Services to violate any law (US, EU, or your local

jurisdiction).

We may suspend or terminate your account if we reasonably believe you've breached these Terms.


8. Your content

You retain ownership of every estimate, client record, photo and recording you create.

You grant us a non-exclusive, worldwide, royalty-free licence to host, process and display your content only as necessary to provide the Services to you (e.g. transcribe a recording, render a PDF, store a photo). This licence ends when you delete the content or close your account.

You confirm that you have all rights necessary to upload the content you upload, including photos that may contain other people or identifiable objects.


9. Our content

The App, its design, the trade-profile catalogs, the brand and every asset we provide are the intellectual property of Pro Speak Artisan. We grant you a personal, non-transferable, non-exclusive licence to use them for the duration of your subscription, solely within the App.

You may not redistribute, white-label, or republish our content without our written consent.


10. Service availability

We aim for high availability but make no uptime guarantee beyond what's required by mandatory local law. We may :

  • Perform scheduled maintenance (we'll try to announce it).
  • Apply security updates without notice.
  • Temporarily limit access in case of abuse, attack, or major

third-party outage (Groq, Cloudflare, Stripe, …).

If a critical Service is unavailable for more than 7 consecutive days and you have a paid subscription, we'll either credit the missed days or refund a pro-rata portion of your latest billing cycle, at our discretion.


11. Termination

11.1 Termination by you

You may stop using the App at any time. To delete your account and data, follow the Data Deletion procedure. Note that cancelling a subscription in the App Store / Google Play does not delete your account.

11.2 Termination by us

We may suspend or terminate your access if :

  • You materially breach these Terms.
  • We're required to do so by law or a court order.
  • You haven't used the account in 24+ months (we'll send a heads-up

email 60 days before).

In case of termination, we'll preserve enough data to comply with our tax and accounting obligations (§ 6 of the Privacy Policy) and delete the rest within 30 days.


12. Disclaimers

The App and Services are provided "AS IS" and "AS AVAILABLE". We disclaim all implied warranties to the maximum extent permitted by applicable law, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

In particular :

  • We don't warrant that AI-generated drafts are accurate, complete,

or fit for any particular use.

  • We don't warrant that voice transcription is verbatim.
  • We don't warrant that the Services will be uninterrupted, secure,

or error-free.

You're using a professional tool to support your judgment, not replace it.


13. Limitation of liability

To the maximum extent permitted by applicable law, our total aggregate liability for any claim arising out of or related to the Services is limited to the greater of :

  • The total amount you paid to us in the 12 months preceding the

event giving rise to the claim, or

  • One hundred US dollars (USD 100).

We are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, data loss, business interruption, or loss of goodwill, even if we've been advised of the possibility.

Some jurisdictions don't allow the limitation of certain warranties or liabilities. In those jurisdictions, our liability is limited only to the maximum extent permitted.


14. Indemnification

You agree to indemnify and hold us harmless against any third-party claims (and reasonable legal fees) arising out of :

  • Your content (e.g. a photo or estimate someone disputes);
  • Your end client relationships (Stripe disputes, contract issues);
  • Your breach of these Terms or of applicable law.

15. Changes to the Terms

We may update these Terms periodically. Material changes will be notified inside the App at least 30 days before they take effect. By continuing to use the Services after that period, you accept the new Terms.

16. Governing law and dispute resolution

These Terms are governed by the laws of France, without regard to its conflict-of-laws principles.

For consumers in the European Union, mandatory local consumer- protection law applies on top of these Terms.

We'll do our best to solve any dispute informally first. If we can't, the dispute will be brought before the competent courts of France — except where mandatory law gives you a different forum.

EU residents can also use the EU online dispute-resolution platform at https://ec.europa.eu/consumers/odr.


17. Miscellaneous

  • Entire agreement. These Terms (with the Privacy Policy and any

in-App notices) are the entire agreement between you and us.

  • Severability. If any clause is held invalid, the rest remains in

force.

  • No waiver. Our failure to enforce a right doesn't waive that

right in the future.

  • Assignment. You can't assign your rights without our written

consent. We may assign ours as part of a corporate reorganisation or acquisition, with prior notice to you.

  • Force majeure. Neither party is liable for delays caused by

events beyond reasonable control (natural disaster, war, outages of fundamental infrastructure …).
